Roman Wenc

President of the Supervisory Board

Mr Wenc is a graduate of the Institute of Processing and Utilization of Mineral Raw Materials of the Akademia Górniczo-Hutnicza (Mining and Metallurgy Academy) in Krakow and Postgraduate Studies on the Preservation of Nature in the Academy of Agriculture. He passed an examination for members of supervisory boards. Since 1986 he has worked for Zakłady Magnezytowe "Ropczyce" S.A.

Grzegorz Ubysz

Member of the Supervisory Board

Mr Ubysz studied in the Faculty of Foreign Trade in the Economic College in Prague. He is the Managing Director of INTERMINEX Handelsgesellschaft from Vienna. Before, in the years 1981-1988 he worked for the Foreign Trade Agency "MINEX" in Warsaw.

Lesław Wojtas

Member of the Supervisory Board

Born on May 15, 1950. Graduate of the Cracow University of Economics. During 1974-1989 he worked for local self-governments. Since 1994 he has been the President of Podkarpacki Bank Spółdzielczy. He is a member of supervisory boards, including Autosan S.A. Since 2006 he has been a member of BCC.

Andrzej Pietruszyński

An Independent Member of the Supervisory Board

A graduate of the Faculty of Law and Administration at the University of Warsaw - legal advisor. In the years 2003-2010 an employee of the following law firms: Modrzejewski Wypychowska Gersdorf, then Modrzejewski Wypychowska and Wypychowska Błeszyńska Wysocka, Banasik Wołoch. Since 2011, a partner in the Law Firm Wypychowska i Wspólnicy sp.k. (currently Wypychowska Pietruszyński sp.j.). An active participant in the work of the professional self-government of legal advisers - a member of the standing committee for promotion and professional development of the District Chamber of Legal Advisers in Warsaw.

Krzysztof Mazur

An Independent Member of the Supervisory Board

Mr. Krzysztof Mazur has a university degree and is a graduate of the Faculty of Law and Administration at the Maria Curie-Skłodowska University in Lublin. He also completed Postgraduate Studies in Banking and Studies in Corporate Finance Management at the Kozminski University in Warsaw. He also holds an Executive Master in Business of Administration from the Higher School of Business – National Louis University in Nowy Sącz.
Currently, he is the President of the Management Board of SIM Podkarpacie sp. z o.o., coordinating social housing investments in 7 municipalities of the Podkarpackie Voivodeship. From 2003 to 2018, he held managerial positions in the banking sector. He was responsible, among other things, for the analysis and verification of financial plans in terms of the creditworthiness of business entities. In 2018-2021, he managed corporate finances and dealt with the preparation and verification of business investment, banking and grant plans for the needs of financial and non-financial institutions. As part of his professional experience, Mr. Krzysztof Mazur was a member of the Supervisory Board of REMET S.A. in Stalowa Wola, and he was also socially active as the President of the Management Board of the DOMUS PACIS Foundation, dealing with the renovation of Rzeszów monuments.

Marian Darłak

Member of the Supervisory Board

Mr. Marian Darłak holds a university degree and is a graduate of the Faculty of Materials Science and Ceramics at the Stanisław Staszic University of Science and Technology in Kraków. He is an expert in the field of refractory materials and the author and co-author of numerous scientific publications and patents related to their applications. He was professionally associated with Zakłady Magnezytowe “ROPCZYCE” S.A. from 1978 to 2025. Throughout his long career, he held a number of key operational and managerial positions, including: production foreman, production department manager, quality control department manager, head of quality management, production manager, director of development and production, and member of the Company’s Management Board. From 2009 to 2025, he served as Vice President of the Management Board for Quality and Development. Since 2010, he has been actively involved in the supervision and implementation of the Company’s strategic investment projects, including the implementation of innovative solutions and the conduct of research and development work. He possesses extensive and long-standing experience in managing production, technology development, quality, and innovation processes in an industrial enterprise.

Marek Tymkiewicz

An Independent Member of the Supervisory Board

Mr. Marek Tymkiewicz holds a university degree and is a graduate of the Faculty of Materials Science and Ceramics at AGH University of Science and Technology. He also completed postgraduate studies in Economics at the University of Economics in Krakow. For the past 20 years, he has served as CFO at companies listed on the Warsaw Stock Exchange: ZM ROPCZYCE S.A. , KOPEX S.A., and private entities: BUMAR – Łabędy S.A., and since 2017 at CTL LOGISTICS Sp. z o.o., a holding company of rail logistics firms operating in Central and Eastern Europe (CEE) and owned by the American fund Compass Partners International. Previously, he worked for private equity funds in Warsaw as an Investment Director and Chairman of the Supervisory Board, responsible for corporate governance and the sale of over 20 entities to strategic investors, including through listings on the Warsaw Stock Exchange—the largest being Inter Cars S.A. He currently serves as an advisor to the Management Board at the ADAMIETZ S.A. Group, coordinating the holding company’s investment and optimization matters. Throughout his career, he has been responsible for developing market strategies, financial restructuring through bond issuances subscribed by funds in Poland and France, and coordinating M&A processes, collaborating with major financial institutions such as Bank of America. As a member of the management board and Chief Financial Officer, he coordinated the work of the financial, accounting, tax, controlling, and IT teams of the Capital Groups within Shared Service Centers, collaborating on an ongoing basis with leading auditors and tax advisors: KPMG, PwC, and Deloitte. He currently focuses on supervisory roles and will support the Company with his knowledge and experience across a wide range of business areas, including for the benefit of independent stakeholders.
